The MetaDock ecosystem is operated by Metaplexus LLC, a limited liability company based in the United States ("Metaplexus," "MetaDock," "we," "us," or "our"). These Terms of Service ("Terms") form a binding legal agreement between you and Metaplexus LLC governing your access to and use of your Metaplexus account and all MetaDock applications, websites, and related services, including Haven, Soliton, Atrium, Virtus, and our courses (together, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
A single Metaplexus account grants you access across the MetaDock ecosystem. You opt in to each surface when you choose to use it, but these member Terms and our Privacy Policy apply to all of them. Surface-specific rules appear in the lettered sections below; where a surface-specific rule conflicts with a general rule, the surface-specific rule controls for that surface.
Everyone with a Metaplexus account is a member, and every member is a customer who can pay for and use services. These member Terms are the base layer that applies to everyone. Two further roles add layers on top, and each is inclusive of the one below it. If you enroll as an Affiliate (which we call an Ambassador, to promote and refer our services for commission) or as a Service Provider (to provide and sell your own service through the platform, which also includes referring, so every Service Provider is also an Affiliate), you additionally accept the Partner Agreement, which covers both roles in role-scoped sections. That agreement supplements, and does not replace, these member Terms.
The MetaDock ecosystem is launching in stages, and some surfaces, features, and programs described in these Terms (for example certain Soliton solutions, the rewards, credits, and referral program, the Ambassador and Service Provider programs, and surfaces such as Codec Logistics and Transmission) may not be available to you yet. These Terms govern each of them when it becomes available, and by agreeing now you accept them for your later use, so you do not have to re-accept these Terms each time we turn something on. Two things still happen at the moment a feature applies, not before: where a feature involves a payment or purchase (such as buying credits or an Ambassador package), you confirm that specific price and any purchase terms at the time you buy; and where the law requires a specific consent (such as consent to record a conversation or to apply AI processing to it), that consent is collected at that time. Agreeing to these Terms does not make any surface available before we launch it, and does not by itself enroll you in a paid program or charge you anything.
You must be at least 13 years old to create an account. If you are under 18 (or the age of majority where you live), you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service.
The Service is not directed to children under 13, and we do not knowingly allow anyone under 13 to create an account or provide personal information. If we learn that we have collected information from a child under 13 without verifiable parental consent, we will delete it. See the Children section of our Privacy Policy.
By using the Service you represent that you are legally able to enter into this agreement and that you are not barred from using the Service under the laws of your jurisdiction.
You are responsible for the information you provide at registration, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at contact@metadock.io if you suspect unauthorized use. You may not share, sell, or transfer your account, and you may not create an account using false information or on behalf of someone else without authorization.
MetaDock is a connected set of services under Metaplexus. Haven is a community-first social platform. Soliton provides video conferencing and a growing suite of tools and solutions, including optional AI-assisted features. Atrium is a marketplace where you can find and book services from independent providers. Codec Logistics is a marketplace for physical products, including products we make and products sold by independent sellers and fulfilled through us. Transmission offers streaming audio, including music and podcasts. Virtus and our courses provide learning and related experiences. We may add, change, or remove surfaces and features over time. Across the Service, communication, community, learning, and connection are platforms we provide; we are not a provider of professional, medical, legal, financial, or mental-health advice, and content provided by users, providers, or sellers does not constitute such advice.
You agree not to use the Service to do any of the following, and not to enable or encourage others to do so:
Our Community Guidelines (posted within the Service) provide further detail and are part of these Terms. We may update them as the community grows.
You keep ownership of the content you create and post on the Service ("User Content"). By posting User Content, you grant Metaplexus LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt (for example, to resize images or format posts), and distribute your User Content solely for the purpose of operating, providing, and improving the Service, and consistent with the audience and sharing settings you choose for that content.
This license ends when you delete your User Content or your account, except that content you shared with others may persist where they retained it, and we may keep backup copies or content we are required to retain by law for a limited period. You are responsible for your User Content and represent that you have the rights necessary to post it and grant this license.
The Service hosts content created by its users. Under Section 230 of the U.S. Communications Decency Act (47 U.S.C. § 230), we are not the publisher or speaker of User Content and are not responsible for it. We may, but are not obligated to, monitor, review, moderate, restrict, remove, or rank content, and we may use automated tools (including harassment detection) to help keep the community safe. We may suspend or terminate accounts that violate these Terms or our Community Guidelines. We aim to apply our rules fairly, but moderation decisions are made at our discretion.
We respect intellectual-property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, send a notice to our designated agent containing the information required by § 512(c)(3): your signature; identification of the work; identification and location of the infringing material; your contact information; a statement of good-faith belief; and a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the rights holder.

We will remove infringing material in appropriate cases, forward notices, allow counter-notices, and terminate the accounts of repeat infringers in accordance with our repeat-infringer policy.
The Metaplexus and MetaDock names and logos, the names and logos of our surfaces, the software, design, look and feel, and all materials we create are owned by Metaplexus LLC and protected by intellectual-property laws. Metaplexus™, MetaDock™, Haven™, Soliton™, Atrium™, Virtus™, Transmission™, and Codec Logistics™ are trademarks of Metaplexus LLC; other names and logos may be the trademarks of their respective owners. We grant you a limited, personal, non-transferable, revocable license to use the Service. Nothing in these Terms transfers our intellectual property to you. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Service except as the law allows.
The Service may rely on third-party providers (for example, hosting, analytics, payments, and communications). Their services are governed by their own terms and privacy policies. Where the Service offers paid memberships, purchases, or features, the applicable prices, billing terms, and refund terms will be presented to you at purchase and form part of these Terms.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, for violations of these Terms, for conduct that harms the community or other users, or where required by law or to protect the Service. Sections that by their nature should survive termination (including content license terms, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content provided by users or providers is accurate or reliable. You use the Service at your own risk.
Services, content, and well-being. The Service is a platform that connects people and hosts content; we do not provide, supervise, endorse, or guarantee the services, sessions, courses, products, or advice offered by users, providers, or instructors. Content and services on the Service, including anything touching health, wellness, mental health, spiritual practice, nutrition, fitness, finance, or law, are for general and educational purposes only and are not professional, medical, therapeutic, legal, or financial advice, and are not a substitute for care from a qualified professional. You are responsible for deciding whether any service or content is appropriate for you, and you assume the risks of choosing to use it. Always seek the advice of a qualified professional for your situation, and never disregard professional advice because of something you accessed on the Service.
To the fullest extent permitted by law, Metaplexus LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or profits, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
You agree to indemnify and hold harmless Metaplexus LLC from claims, damages, and reasonable expenses (including legal fees) arising from your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
Except where prohibited by law, you and Metaplexus LLC agree to resolve any dispute relating to the Service through binding individual arbitration rather than in court, and you waive the right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing us. This section does not prevent either party from seeking relief in small-claims court or from seeking injunctive relief for intellectual-property or unauthorized-access claims.
If users in the European Union or United Kingdom use the Service, nothing in this section removes mandatory consumer-protection rights you have under the laws of your country of residence, including the right to bring proceedings in your local courts.
Some surfaces offer paid memberships or plans alongside a free tier. When you buy a paid plan, the price, billing interval, and what the plan includes are shown to you at purchase. Unless stated otherwise, paid plans renew automatically at the end of each billing period at the then-current price until you cancel.
You can cancel at any time. Cancelling is available directly from your account settings, and we do not impose retention hurdles or extra steps to cancel. Cancelling does not delete your account. Your account simply returns to the free tier: you keep your account and your data and lose only the access the paid plan provided, effective at the end of the current paid period. We do not charge you again after you cancel. Any refund terms shown at purchase apply; otherwise charges already made are non-refundable except where the law requires.
The platform uses a closed-loop system of credits and reward points. There are two separate kinds, kept in separate balances:
When you add money to your account you receive credits of equal value. Purchased credits are nonrefundable and never expire. They are non-transferable and can be spent only inside the Metaplexus ecosystem and at our designated merchants (the businesses we authorize to accept Metaplexus credits). You can spend credits and points across the surfaces that accept them, for example on Atrium bookings, Codec products, Soliton solutions, courses, and, where offered, additional Haven invites. Credits are not a deposit, not savings, and earn no interest; we are not a bank and do not hold your money on deposit. If the company ceases operations, unspent credits may be lost.
Separately, you may earn reward points, for example a percentage back on purchases or for referrals. Earned points are promotional, are tracked in their own balance, and expire if not used within the period stated in the Schedule (the "Schedule" is the current set of rates and amounts we publish at metadock.io/legal/schedule and present to you at enrollment, incorporated into these Terms by reference).
Where a state requires it, we provide a limited cash-out of small remaining balances (for example, California requires cash redemption of balances under $15 from April 1, 2026; some other states have $1 to $5 thresholds). This narrow, legally required cash-out does not change the closed-loop nature of credits. We may set limits on how much you can load or hold and may require identity verification. The points-to-dollar ratio, the percentage back, the earned-points expiration window, payout thresholds, and any limits are stated in the Schedule as published and may change prospectively by notice.
Entire agreement. These Terms, together with our Privacy Policy and any terms presented at purchase or at enrollment in a role (such as the Partner Agreement), are the entire agreement between you and Metaplexus LLC about the Service and replace any prior agreements on the subject.
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest of the Terms will remain in full effect.
No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Notices. We may give you notices through the Service or by email to the address on your account. You can send us notices at contact@metadock.io.
We may update these Terms and any referenced Schedule from time to time. We will notify you of material changes by email or through the Service. Your continued use after a change takes effect means you accept it. If you do not agree, your remedy is to stop using the Service and, if you wish, close your account; changes are prospective only. Amounts and rates referenced in these Terms (for example, credits, reward points, and fees) live in the Schedule as published, which is part of these Terms and may be updated the same way. The "Last updated" date and version above show the current version, and your acceptance at signup is recorded with the terms and privacy versions, a timestamp, and (where collected) your IP address.

Surface terms
Haven is a community-centered social platform within MetaDock. It combines a posting feed, community spaces with channels and roles, direct community participation, and image sharing. Haven includes features that let you organize the people you connect with into private connection circles and choose which audience can see a given post.
Haven lets you sort connections into private circles and route a post to a chosen audience. These tools help you manage who sees what, but no online sharing setting is perfectly secure: people you share with can copy, screenshot, re-share, or describe your content elsewhere, and you should not post anything you would be harmed by if it became public. Circle labels you assign are private to you; we describe how the suggestion feature works in our Privacy Policy. We do not guarantee that any audience setting will prevent all unintended access.
Haven may be offered on an invite-only basis, with a waitlist for those without an invitation. If you receive an invitation or an invite code, it is a limited, revocable privilege we extend to you: not property, not a security, and not something you own. Invitations and invite codes are personal to you: you may not sell, auction, transfer, or trade them, and you may not use them to bring on accounts that break these Terms. We may set, change, or remove the number of invitations available to you, may pause or expire unused invitations, and may revoke an invitation or the access it created if it was obtained or used in violation of these Terms. Where we offer additional invitations for purchase or in exchange for points or credits, the amounts and terms are stated in the Schedule and at the point of purchase; buying additional invitations does not change their revocable, non-transferable nature. Being invited, joining the waitlist, or holding invitations does not guarantee continued access, and we may change how access to Haven works over time.
Surface terms
Soliton provides real-time video and audio conferencing, including group calls and one-on-ones, screen sharing, in-call chat, and optional recording and transcription. Soliton is also the home for a growing suite of solutions built across the ecosystem: optional AI-assisted features, automations and chatbots, forms and data-collection tools, integrations with other services, workshops and live demos, and community spaces. Whatever the other surfaces do not cover directly, Soliton is where those solutions live. The rules for each solution appear in the sections below and in any additional terms presented to you when you turn that solution on; where a solution has its own presented terms, those apply together with these.
Soliton lets a host record a meeting. When recording is active, the Service displays a recording indicator to participants. You alone are responsible for complying with all laws that apply to recording, including obtaining any required consent before you record. Many U.S. states require the consent of all parties to a conversation, and when participants are in different states the strictest applicable law controls; laws outside the U.S. may differ. You agree not to record, store, share, or transcribe any session except as permitted by law and by the other participants. Metaplexus LLC is not responsible for recordings you create or how you use them, and you indemnify us for claims arising from your recordings.
You keep ownership of the meeting recordings and transcripts you generate, and you grant us the license in Section 7 solely to host and deliver them. We do not use the content of your meetings to advertise to you, and we do not sell it. We do not monitor the content of private meetings as a routine matter.
Soliton is growing into a suite of tools and solutions beyond live calls, including optional AI-assisted features we call MetaBot, for example automatic transcription, meeting notes and summaries, and assistant features. These features are optional. Where an AI feature processes a meeting, its recording, or its transcript, the host controls whether it is on, and the same consent rules in Section S2 apply: you are responsible for obtaining any consent required before recording or before applying AI processing to a conversation.
AI output is not advice and may be wrong. AI-generated transcripts, notes, summaries, and answers are produced automatically, can be inaccurate or incomplete, and are not professional, medical, legal, financial, or other regulated advice. You are responsible for reviewing AI output before relying on it or acting on it. We do not warrant that AI output is accurate, complete, or fit for any purpose.
How we use your content with AI. We process your meeting content with AI only to provide the feature you turned on. We do not use the content of your meetings, recordings, or transcripts to train third-party foundation models, and we do not sell it. Some AI features are delivered with the help of trusted technology vendors who process content on our behalf under contracts that limit their use of it; we describe these uses in our Privacy Policy. Some Soliton solutions let you set up automations, chatbots, or integrations with other services (for example messaging or social platforms). If you do, you are responsible for using them lawfully, including compliance with the rules of any third-party platform you connect and with laws governing automated messages, marketing, and consent (such as the TCPA and CAN-SPAM); and you provide and remain responsible for your own accounts and access on those third-party platforms.
Forms and data you collect through Soliton. Some Soliton solutions let you create forms, sign-ups, or other tools that collect information from the people you share them with. When you do, you decide what you collect and why, and you are responsible for that data and for handling it lawfully, including giving the people you collect from any notice and choices the law requires and having a lawful basis to use it. As between you and Metaplexus, you act as the controller of the information you collect through these tools and Metaplexus processes it on your behalf to provide the feature, as described in our Privacy Policy. You will not use these tools to collect information deceptively or to send unlawful communications.
Soliton may host workshops, live demos, and events, and may include community spaces (for example for questions, discussion, and support around a solution). Where a workshop, demo, or event is paid, its price, access period, and any refund terms are presented at purchase and form part of these Terms; where it is taught or hosted by an independent provider, that provider offers it under the Partner Agreement. In any Soliton community space, the Acceptable Use rules in Section 6 and our Community Guidelines apply, the same as elsewhere in the Service, and we may moderate, restrict, or remove content and participation under Section 8. Workshops, demos, and community content are for general and educational purposes and are not professional advice, consistent with Section 13.
Surface terms
Atrium is a marketplace where you can discover and book services from independent providers ("Providers"), across one-on-one sessions, project-based work, and local services. Providers are independent third parties, not employees or agents of Metaplexus LLC. We provide the platform that connects you; we do not provide the underlying services, do not supervise Providers, and are not a party to the agreement between you and a Provider, except as to payment processing we facilitate.
You are responsible for evaluating a Provider and the suitability of their services for you. Providers are responsible for their own services, qualifications, licensing, and conduct. Bookings, payments, cancellations, and refunds follow the terms presented at the time of booking. Disputes about a service are primarily between you and the Provider; we may help facilitate resolution but are not obligated to. Providers who list services on Atrium do so under the Partner Agreement.

Codec Logistics is being prepared and is not yet open at launch; these terms govern it when it goes live. Codec Logistics is a marketplace for physical products. Some products are made or supplied by Metaplexus; others are sold by independent sellers and fulfilled through Codec Logistics. Where a product is sold by an independent seller, that seller is the merchant for the item and lists it under the Partner Agreement; we provide the marketplace and fulfillment. Each product page identifies what you are buying and, where relevant, who sells it.
When you place an order you are making an offer to buy. Your order is accepted only when we confirm it has shipped, and until then we may decline or cancel it, for example if an item is out of stock, if there is an error in the price or description, or if we suspect fraud. We work to keep prices and product information accurate, but errors can occur; we are not obligated to honor an obvious pricing or description error, and if we cancel an order you already paid for because of one, we refund you in full.
Shipping options, costs, and estimated delivery times are shown at checkout. Delivery estimates are not guarantees. Risk of loss and title pass to you when we hand the products to the carrier. You are responsible for providing an accurate, deliverable address.
Our return and refund policy, including any return window, condition requirements, and who pays return shipping, is presented at the point of sale and on our returns page, and forms part of these Terms. If an item arrives damaged, defective, or materially not as described, contact us and we will arrange a replacement or refund as the policy provides. Nothing in these Terms limits any non-waivable rights you have under consumer-protection law where you live.
Except for any limited warranty expressly stated for a product, and except for rights that cannot be waived under applicable law, products are sold "as is" and the disclaimers and limitation of liability in Sections 13 and 14 apply. You are responsible for using products safely and as directed. Some products (for example consumables, wellness, or performance products) may be subject to additional rules, age restrictions, or required notices; where they are, those notices appear on the product page and you agree to follow them. Statements about products that have not been evaluated by the relevant regulator are not intended to diagnose, treat, cure, or prevent any condition.
Surface terms
Transmission is being prepared and is not yet open at launch; these terms govern it when it goes live. Transmission offers streaming audio, including music and podcasts. We grant you a limited, personal, non-commercial, non-transferable, revocable license to stream this content for your own enjoyment through the Service. You may not download (except where a feature expressly allows offline listening within the app), copy, rip, redistribute, publicly perform, broadcast, or create derivative works from the content, except as the law allows or as a feature expressly permits. Content and catalog availability may change, and titles may be added or removed.
Some content on Transmission is provided by Metaplexus and some by independent creators or rights holders. Where you submit or stream content you do not own, you are responsible for having the rights to do so, and the Acceptable Use rules in Section 6 and the copyright and DMCA process in Section 9 apply. The content is the property of Metaplexus or its licensors and is protected by intellectual-property laws.

Virtus is a MetaDock surface for learning and related experiences. (Virtus-specific terms will be expanded here as the surface comes online. Until then, your use of Virtus is governed by the general member Terms above.)

MetaDock offers courses, workshops, and learning content (including our "code to code" course and Codec materials). When you purchase or enroll in a course, the price, access period, and any refund terms are presented at purchase and form part of these Terms. Course content is licensed to you for your personal, non-transferable use; you may not redistribute, resell, or publicly share course materials except as expressly permitted. Course content is for educational purposes and is not professional, medical, legal, or financial advice. Where a course is taught or supplied by an independent Provider, that Provider lists it under the Partner Agreement.
